Wholesale & Bulk Purchasing Terms

1Introduction & Scope

This policy applies to any Order that qualifies as wholesale or bulk purchasing on the HmperCo Platform, whether placed by an Individual, Business, or SnS Account.

2Legal Framework

• Consumer Protection Act 68 of 2008 ("CPA") — continues to apply to wholesale/bulk purchases by qualifying consumers and juristic persons below the applicable CPA threshold, as described in the Business Customer Terms.
• Value-Added Tax Act 89 of 1991 — governs VAT treatment and tax invoicing for wholesale orders.
• Foodstuffs, Cosmetics and Disinfectants Act 54 of 1972 — governs food-safety handling for bulk perishable orders.

3Minimum Quantities & Quotations

3.1 Wholesale pricing applies from the minimum order quantity displayed for the relevant Product or category.

3.2 For large or custom bulk requirements not covered by standard wholesale pricing, you may request a quotation from HmperCo, which will remain valid for the period stated in the quotation.

4Pricing & Price Validity

Wholesale and bulk pricing is subject to change and is confirmed at the time your purchase order or Order is accepted; a quotation is not binding on HmperCo beyond its stated validity period.

5Purchase Orders, Deposits & Payment

5.1 HmperCo may require a deposit for large bulk orders before production/procurement begins, with the balance payable before or on delivery as agreed.

5.2 Payment terms for approved Business Accounts follow the Business, Group & Organisation Customer Terms and the Payments Policy.

6Fulfilment, Delivery & Collection

Bulk orders may require an extended fulfilment lead time, communicated to you at the time of order, and may be delivered in staged consignments where agreed. Delivery and collection are otherwise subject to the Delivery & Logistics Policy.

7Returns, Defects & Perishables

Bulk orders are subject to the Returns Policy, with reasonable allowance for sample-based inspection on large-quantity deliveries (rather than item-by-item inspection at the point of delivery), and are subject to the food-safety reporting timeframes in the Food, Meat, Fresh Produce & Perishables Policy where applicable.

8Cancellations

Cancellation of a bulk order after production or procurement has commenced may result in forfeiture of the deposit to the extent of costs already reasonably incurred by HmperCo, which will be disclosed to you before you confirm the order.

9Relationship to Business & SnS Terms

Where a wholesale/bulk purchase is made under the Split & Sell programme, the Split & Sell Terms govern in addition to this policy in respect of resale-specific matters.
